 WELCOME DeBaun and Co. LLC ("Company", "we", "us" or "our") operates the website www.ceospringbreak.com, and may own and operate other websites nor or in the future (the "Sites"). Our Sites contain, among other things, information regarding our annual events (“­Event(s)”). Use of our products, software, services and Sites (referred to collectively as the "Services"), and attendance at our Events, by our visitors and members (collectively, “You” or “Your”) is subject to these terms and conditions (the "Terms of Service") and form a binding agreement between You and us. Please review the following Terms of Service carefully. Each time You access the Sites or use the Services (whether while in attendance at an Event or otherwise), You are agreeing to be bound by these Terms of Service, whether You are a "Visitor" (which means that You simply browse the Sites), or You are a "Member" (which means that You have established an account with us (Your "Account"). If You do not agree to all of these Terms of Service, Company is unwilling to grant You access to the Sites, Services or Events, and You must cease access to the Sites and Services immediately, and you are not permitted to attend any Events.

 Data and Information We Collect or You Provide Us

Personal information is collected when a Visitor or Member accesses the Sites or provides such information knowingly (whether through registration, a contact form, purchases, etc.), from third parties and referrals, and passively through technology such as Cookies (as hereinafter defined). Personal information includes personal data, contact information, company and business information, and interpersonal information.

1.       "Personal Data" means data that allows someone to identify or contact You, including, for example, Your name, address, telephone number, e-mail address, as well as any other non-public information about You that is associated with or linked to any of the foregoing data.

2.      We may collect Personal Data from You, such as Your first and last name, gender, e-mail and mailing addresses, professional title, company name, and password when You access the Sites, create an Account to log in to our network, and/or when you make a purchase from us.

 3.      If You order Services on the Sites (e.g., tickets to an Event, etc.), we will collect all information necessary to complete the transaction, which may include, without limitation, Your name, credit card information, billing information and shipping information.

4.      We retain information on Your behalf, such as files and messages that You store using Your Account.

5.      If You provide us feedback or contact us via e-mail, we will collect Your name and e-mail address, as well as any other content included in the e-mail, in order to send You a reply.

6.      When You participate in one of our surveys, we may collect additional profile information.

7.      When You post messages on message boards of the Sites, the information contained in Your posting will be stored on our servers and other users will be able to see it.

8.      We also collect other types of Personal Data that You provide to us voluntarily, such as Your operating system and version, product registration number, and other requested information if You contact us via e-mail regarding support for the Services.

 9.      We may also collect Personal Data, such as at other points in the Sites that state that Personal Data is being collected.

 10.    To make the Sites and Services more useful to You, our servers (which may be hosted by a third party service provider) collect information from You, including Your browser type, operating system, Internet Protocol (IP) address (a number that is automatically assigned to Your computer when You use the Internet, which may vary from session to session), domain name, and/or a date/time stamp for Your visit.

 11.      We also use Cookies and URL information to gather information regarding the date and time of Your visit and the information for which You searched and which You viewed. "Cookies" are small pieces of information that a website sends to Your computer's hard drive while You are viewing a website. We may use both session Cookies (which expire once You close Your web browser) and persistent Cookies (which stay on Your computer until You delete them) to provide You with a more personal and interactive experience on the Sites. Persistent Cookies can be removed by following Internet browser help file directions.

12.     Except as set forth below, the only people who have access to personal information collected on the Sites are our employees who have a need to know and who are bound by nondisclosure agreements and our privacy policy located here[PB1] . We have physical, electronic, and procedural safeguards to protect the personal information that we store. The only information we would share (solely during introductions or referrals) would be Your name and email.

 13.     Also, please note that the Sites may contain links to third party websites. These third-party websites may send their own Cookies to collect data and solicit personal information. Therefore, we cannot guarantee Your privacy when visiting such third party sites, nor the accuracy or acceptability of any services provided by such third parties.

14.    When users submit sensitive information via the Sites (such as credit card numbers or social security numbers), that information is encrypted and is protected with SSL encryption software.

 

Uses of Your Information

We use the Personal Data that we receive to operate the Sites, offer Services and produce our Events, and in certain other ways, including:

1.       To facilitate the creation of and secure Your Account on our network;

2.      To identify You as a user in our system;

3.      To provide improved administration of the Sites and Services, and to provide the Services You request;

4.      To improve the quality of experience when You interact with the Sites and Services;

5.      To send You a welcome e-mail to verify ownership of the e-mail address provided when Your Account was created;

6.      To send You administrative e-mail notifications, such as security or support and maintenance advisories;

7.      To respond to Your inquiries related to employment opportunities or other requests;

8.      To make telephone calls to You, from time to time, as a part of secondary fraud protection or to solicit Your feedback;

9.      To send newsletters, surveys, offers, and other promotional materials related to our Services and for our other marketing purposes; and

10.    For any other use permitted by applicable law in furtherance of us, our Sites, or Events.

 

We do not rent, sell, or share Your personal information with any other entity, except when:

1.       We have Your permission;

2.      We respond to subpoenas, court orders, or other legal process, or when we must exercise our legal rights, protect our property, defend against legal claims, or otherwise comply with the law,;

3.      We believe it is appropriate in order to investigate, prevent, or take action regarding suspected illegal activities, fraud, threats to personal safety, or violation of these Terms of Service;

4.      You order tickets to an Event and other items on line at the Sites, and Your order is processed in collaboration with a third party company, which are instructed to not share or sell Your information;

5.      We contact You at Your email address to keep You informed about local events, announcements, and other related opportunities (should You not want to receive such information, You will find details about how to opt out the first time You are contacted);

6.      In the unlikely event that Company is acquired or transferred, or changes entity status through any type of transaction (including an asset sale, merger or bankruptcy), the personal information will be among the transferred assets; and

7.      Your Personal Data may be processed in the country in which it was collected and in other countries, including the United States, where laws regarding processing of Personal Data may be less stringent than the laws in Your country.

 

We reserve the right to remove a user from the Sites without notice at our discretion if there are reasonable grounds to believe You have breached any of the restrictions above. You can change Your personal information, or reach us for any questions, by contacting us via email at support@ceospringbreak.com.

 Our Limits on Liability for Events, During Use of the Site, other Services

1.       COMPANY DISCLAIMS LIABILITY ARISING OUT OF USE OF THE SITES OR SERVICES, ATTENDANCE AT AN EVENT, OR ANY COMPANY AFFILIATED ACTIVITY. IN NO EVENT WILL WE OR OUR OFFICERS, EMPLOYEES, DIRECTORS, PARENTS, SUBSIDIARIES, AFFILIATES, AGENTS OR LICENSORS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF REVENUES, LOST REGISTRATION FEES, PROFITS, GOODWILL, USE, DATA, LOST REAL ESTATE OPPORTUNITIES, OR BUSINESS INTERRUPTIONS OR OTHER INTANGIBLE LOSSES (EVEN IF SUCH PARTIES WERE ADVISED OF, KNEW OF OR SHOULD HAVE KNOWN OF THE POSSIBILITY OF SUCH DAMAGES, AND NOTWITHSTANDING THE FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY), ARISING OUT OF OR RELATED TO YOUR USE OF OR ACCESS TO, OR THE INABILITY TO USE OR TO ACCESS, THE SITE OR THE SERVICES (INCLUDING YOUR ATTENDANCE AT ONE OF OUR EVENTS), REGARDLESS OF WHETHER SUCH DAMAGES ARE BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE AND STRICT LIABILITY), WARRANTY, STATUTE OR OTHERWISE. WE WILL NOT BE LIABLE FOR ANY DAMAGES ARISING FROM THE TRANSACTIONS BETWEEN YOU AND ANY THIRD-PARTY MERCHANTS OR SERVICE PROVIDERS OR FOR ANY INFORMATION APPEARING ON THIRD PARTY MERCHANT OR SERVICE PROVIDER SITES OR ANY OTHER SITE LINKED TO OUR SITES.

 2.      COMPANY HAS NOT MADE, WILL NOT MAKE, AND HEREBY EXPRESSLY DISCLAIMS ANY REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, REGARDING COMPANY, ITS EVENTS, OR THE RESULTS, WHETHER MONETARY OR OTHERWISE, OF YOUR ATTENDANCE AT ANY EVENT, INCLUDING WITHOUT LIMITATION ANY REPRESENTATIONS OR WARRANTIES THAT PARTICIPATION IN AN EVENT WILL RESULT IN ANY PARTICULAR AMOUNT OR LEVEL OF BUSINESS OR CAREER SUCCESS OR FAILURE.

3.      WITHOUT LIMITING THE FOREGOING, WE DO NOT ACCEPT ANY LIABILITY FOR DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM YOUR USE OF THE SITES AND WE CANNOT GUARANTEE THAT ANY FILES THAT YOU DOWNLOAD ARE FREE FROM VIRUSES, CONTAMINATION OR DESTRUCTIVE FEATURES. WHILE WE USE ALL REASONABLE ENDEAVORS TO CORRECT ANY ERRORS OR OMISSIONS AS SOON AS PRACTICABLE ONCE THEY HAVE BEEN BROUGHT TO OUR ATTENTION, WE DO NOT WARRANT THAT THE INFORMATION ON THE SITES ITSELF WILL BE FREE FROM ERRORS OR OMISSIONS. WE DO NOT WARRANT THAT THE SITES WILL BE AVAILABLE UNINTERRUPTED AND IN A FULLY OPERATING CONDITION.

4.      ACCESS TO THE SITES MAY BE SUSPENDED TEMPORARILY AND WITHOUT NOTICE IN THE CASE OF SYSTEM FAILURE, MAINTENANCE OR REPAIR OR FOR REASONS REASONABLY BEYOND OUR CONTROL. ALL CONTENT AND SERVICES ON THE SITES ARE PROVIDED ON AN 'AS IS' AND 'AS AVAILABLE' BASIS. WE DO NOT MAKE ANY REPRESENTATION OR GIVE ANY WARRANTY, AND HEREBY DISCLAIM ALL EXPRESS OR IMPLIED WARRANTIES, IN RESPECT OF THE SITES OR ITS CONTENT, INCLUDING, WITHOUT LIMITATION, ANY ADVICE GIVEN (ON A PERSONAL OR GENERAL BASIS) AND STATEMENTS MADE BY ADVERTISERS ON OR VIA THE SITES, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF NON-INFRINGEMENT, MERCHANTABILITY, DATA ACCURACY, FITNESS FOR A PARTICULAR PURPOSE AND QUIET ENJOYMENT. ANY DECISIONS OR ACTION TAKEN BY YOU ON THE BASIS OF INFORMATION PROVIDED ON OR VIA THE SITES ARE AT YOUR SOLE DISCRETION AND RISK AND YOU SHOULD OBTAIN INDIVIDUAL PROFESSIONAL ADVICE WHERE NECESSARY.

 

Conduct on the Sites

If You are a Member, we reserve the right to suspend or terminate, at our discretion, Your account for violations of our rules, guidelines, or Terms of Service. Specifically:

1.       You may not sell, trade, or transfer a membership account to another person, nor accept or use an account that did not originally belong to You, and if an account violates these Terms of Service, the account will be terminated immediately;

2.      Your participation is based upon the assumption that all information You provide regarding yourself is truthful and accurate, and any misleading or false information is sufficient reason for us to terminate Your account;

3.      You represent that You have the proper authorization to submit all content that You submit to the Sites or through the Services; and

4.      You will be entirely responsible for each individual item of content that You post on the Sites, and, as between You and us, You retain ownership and any intellectual property rights in the content You post; provided, however, that you agree to grant us a non-exclusive, royalty-free, fully paid, fully sub-licensable, worldwide, irrevocable and perpetual license to use, reproduce, distribute, publicly display, publicly perform, modify, make, have made, sell, offer for sale, import and otherwise exploit such content in all media now known and later developed, and to allow others to do the same. We reserve the right to remove any content posted by You or other members at our sole discretion, for reasons including but not limited to that it is unlawful, threatening, libelous, defamatory, fraudulent, obscene or otherwise objectionable, or because it may infringe or violate any party's intellectual property or privacy.

While we do our best to monitor the content of the Sites, You understand and agree that You may encounter material with which You disagree or find objectionable, and that You use the Sites with this understanding and acceptance, and do not hold Company liable. We do not endorse, support, or ensure the accuracy, truthfulness, or reliability of any content posted in the Sites, forum or elsewhere, nor do we endorse opinions expressed in the forum or elsewhere. Use of the Company name and/or logo for any purpose, event or promotion without our written express consent is prohibited and may result in the termination of user's account on the Sites, access to future Events and/or other legal action.

We want to keep Company free from intrusions. By accepting these Terms of Service, You agree that, either on the Site or at/in connection with any Event, You will not send or distribute unsolicited or unauthorized advertising, promotional materials, junk mail, chain letters, spam, pyramid schemes, or any other type of solicitation to other members, nor will You stalk, harass or disturb any other member. This action is grounds to suspend or terminate Your Account or access to the Site, or physically remove you from the premises of any Event, at our discretion. Such grounds for suspension, termination and removal include, but are not limited to, any action or omission in which You:

1.       Defame, abuse, harass, harm or threaten others;

2.      Make any bigoted, hateful, or racially offensive statements;

3.      Advocate illegal activity or discuss illegal activities with the intent to commit them or cause injury or property damage to any person;

4.      Post or distribute any material that infringes and/or violates any right of a third party or any law;

5.      Post or distribute any vulgar, obscene, discourteous, or indecent language or images;

6.      Advertise or sell to or solicit others;

7.      Use the Sites or Events for commercial purposes of any kind;

8.      Post or distribute any software or other materials that contain a virus or other harmful component;

9.      Restrict or inhibit any other user from using and enjoying the services or features of the Sites or Events;

10.    Forge headers or otherwise manipulate identifiers in order to disguise the origin of any content displayed by, or transmitted over, the Sites;

11.      Upload, post, email, transmit or otherwise make available any unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation, except in those areas that are designated for such purpose;

12.     Use the Sites or Events to impersonate any person or entity, or falsely state or otherwise misrepresent Your affiliation with a person or entity;

13.     Interfere with or disrupt any third parties involved in the operation of the Events, or any servers or networks used to provide the Sites or its features, or disobey any requirements, procedures, policies or regulations of the networks we use to provide the Sites and Events;

14.    Gain, or attempt to gain, unauthorized access to the Sites or Events, or any account, computer system, or network connected to this Sites, by means such as hacking, password mining, decompiling or reverse engineering to access source code, or other illicit means;

15.     Obtain or attempt to obtain any materials or information through any means not intentionally made available through the Sites; and

16.     Gather for marketing purposes any email addresses or other personal information that has been posted by other users of the Sites.

 You alone are responsible for the confidentiality and security of Your account, username, password and usage. You are also accountable for all activities regarding Your account, with or without Your knowledge or permission. If You knowingly provide Your log-in information to another person, Your membership may be suspended temporarily or terminated. Company assumes no liability for activities of Your account accessed through Your password and username. You may not use the Sites or Events for any illegal purpose in any country or jurisdiction. You agree to notify us immediately of any unauthorized use of Your password or account or any other breach of security, and to ensure that You exit from Your account at the end of each session. We cannot and will not be liable for any loss or damage arising from Your failure to protect Your password or account information.

 You are not permitted to post content or initiate any communications that we, in our sole and absolute discretion, consider libelous, scandalous, abusive, obscene, discriminatory, unlawful, or otherwise objectionable.

It is not permitted to make available any content or initiate communication that infringes upon the patents, trademarks, trade secrets, copyrights or other proprietary rights of third parties, whether personal, corporate or governmental.

 Photo & Video Release

 By attending any Event, you grant to Company and its successors, licensees and assigns (collectively, “Company Parties”), permission to photograph, video and record You during Your appearance at such Event, and to use Your name, likeness, photographs and recordings of You taken at the Event (collectively referred to as the “Material”) for inclusion in an audio recording of the Event for distribution by a third party audio service (“Audio Service”), for use in advertising, and for use in the promotion​ ​ and​ ​ publicity​ ​ of​ ​ the​ ​ Event​ or future Events​ by​ Company,​ ​ in​ ​ any​ ​ media​ ​ in​ ​ perpetuity. You represent and warrant that You have the right and authority to grant the foregoing rights, and that neither Company nor any Audio Service or third-party platform used by Company, is required to pay any claims for royalties, residuals, or other compensation to You or any third party. You will indemnify and hold harmless all Company Parties from and against all costs, damages and claims arising from any breach or alleged breach by me of any representation, warranty or agreement​ ​ hereunder.

Company is under no obligation to utilize the Material or the results and proceeds thereof. Company exclusively owns all now known and/or hereafter existing rights of every kind throughout the universe, in perpetuity, in and pertaining to the Material. Notwithstanding anything to the contrary contained herein, You agree that Company has the unlimited right to edit, rearrange, vary, change, alter, modify, manipulate, add to, and delete from the Material. You hereby agree not to institute or support, maintain, or permit any action or lawsuit on the grounds that any other ancillary, subsidiary, related or other product produced or exploited by Company​ ​ violates​ ​ any​ ​ of​ ​ Your​ ​ rights​ ​ or​ ​ is​ ​ in​ ​ any​ ​ way​ ​ a​ ​ defamation​ ​ or​ ​ mutilation​ ​ of​ ​ the​ ​ product​ ​ of​ ​ the​ ​ Material. You understand that Company may assign the rights and/or extend this permission to third parties, in Company’s sole discretion, solely in connection with any of the permitted uses indicated above, and You understand that Company and those others will be relying on and incurring certain expenses based on Your having given Company this permission. This permission, and all the rights granted to Company, are irrevocable and not subject to rescission, revocation or termination. You further understand and agree that under no circumstance will You be entitled to equitable and/or injunctive relief in connection with this release.

Ticket Purchase

If you purchase tickets to any Event, you acknowledge that such ticket only provides you access to Event-specific sessions and activities specifically hosted by Company (and not any events or other activities hosted by third parties merely advertised at the Event), and that you will be solely responsible for all costs and liabilities in connection therewith. Further, your purchase of a ticket only provides you with access to the Event sessions and activities, and does not include, without limitation, any travel you may need to/from the Event, accommodations near or around the Event premises, or any meals or beverages not advertised as included in the ticket purchase price.

 

Code of Conduct for All Event Attendees

 This code of conduct is designed to help ensure a safe environment for participants and attendees to share, learn, and build relationships. All participants of Events or Company’s Members must abide by the following policies, which herein comprise the Company Code of Conduct.

Summary

 Event attendees must: (i) be kind and considerate, (ii) wear Your wristband and badge at all times during the Event to access Company spaces, or provide appropriate identification when requested or necessary, (iii) comply with all applicable local, state, and federal laws, (iv) not solicit business excessively or in violation of an individual’s request, (v) not harass anyone sexually, verbally or otherwise, and (vi) not drink excessive amounts of alcohol, distribute alcohol to minors, and/ or engage in illegal drug use. Terms

1.       All participants and attendees at any Event, including participants’ and attendees’ guests, must be approved by Company through advance registration and wear official wristbands designating proper registration. Tickets, once purchased are not refundable.

2.      We reserve the right to remove participants, members, and attendees who do not comply with the proper registration, security procedures or requirements of attendee conduct outlined herein at any point during an Event, without a refund or credit. Company reserves the right to remove anyone who disobeys any requirements, procedures, policies or regulations of the Event.

3.      No participants or attendees may impersonate any person or entity, or falsely state or otherwise misrepresent their affiliation with a person or entity.

4.      Participants and attendees may not aid in gaining an unauthorized person access to an Event; this is grounds for removal without refund or credit.

5.      Participants and attendees must not defame, abuse, harass, harm or threaten others, make any bigoted, hateful, or racially offensive statements.

6.      Participants and attendees may not advocate illegal activity or discuss illegal activities with the intent to commit them or cause injury or property damage to any person.

 7.      Participants and attendees may not post or distribute any material that infringes and/or violates any right of a third party or any law or post or distribute any vulgar, obscene, discourteous, or indecent language or images.

8.      Participants and attendees may not advertise or sell to or solicit others excessively.

9.      Participants and attendees may not hand out, transmit or otherwise make available any unsolicited or unauthorized advertising, promotional materials, "chain letters," "pyramid schemes," multi-level marketing campaigns, or any other form of solicitation, except in those areas that are designated for such purpose.

10.    Without limitation of the foregoing, Company may, in its sole and absolute discretion, remove any participant or attendee from an Event, without explanation, either before or during an Event, if such attendee engages in any unlawful, unauthorized, prohibited, improper, or unethical activities, or any other acts or omissions that Company deems worthy of such person’s removal from an Event. In the event you are removed, Company will not provide a refund or credit for any Event, member activity, or site access, as applicable.

 

Anti-Harassment Policy

It is of the utmost importance that Company ensure a harassment-free experience for everyone, regardless of gender, sexual orientation, disability, physical appearance, body size, race, or religion. We demand equal respect of all participants and attendees of our Events, and do not tolerate harassment of staff, attendees, participants, guests, or speakers in any form. Sexual harassment includes, without limitation, unwelcome conduct of a sexual nature, such as unwelcome sexual advances or attention, requests for sexual favors, verbal, nonverbal, graphic and electronic communications that are of a sexual nature, displaying sexual images in public spaces, or inappropriate or unwanted physical conduct. Gender-based harassment includes, without limitation, unwelcome conduct of a nonsexual nature based on an individual’s actual or perceived sex, including conduct based on gender identity, gender expression, and nonconformity with gender stereotypes that is sufficiently serious to adversely affect an individual’s participation in a Company Event. Sexual violence is an umbrella term that includes sexual assault, such as rape/attempted rape, criminal sexual act, forcible touching, and sexual abuse. If of a sexual nature, stalking/cyberstalking and dating, domestic and intimate partner violence may also constitute sexual harassment, gender-based harassment or sexual violence. This policy covers, without limitation, all of the foregoing acts.

 Be kind to others. Do not insult or put down other attendees. Behave appropriately. Remember that harassment and sexist, racist, or exclusionary jokes are not appropriate for any Company Event. If a participant or attendee engages in harassing behavior and violates these rules, Company retains the right in its sole discretion, to take any actions to keep the Event a welcoming environment for all participants. This includes warning the offender or expulsion from the Event without refund or credit. Other Event organizers may also take action to redress anything designed to, or with the clear impact of, disrupting the Event or making the environment hostile for any participants. We expect participants to follow these rules at all Event venues and Event-related social activities.

Speak up if you see or hear something. If someone makes you or anyone else feel unsafe or unwelcome, please report it as soon as possible. Harassment and other code of conduct violations reduce the value of our events for everyone. You can make a report either personally or anonymously. You can make a personal report by:

·       Approaching Company representatives at Events.

·      Reaching out to support@ceospringbreak.com.

When taking a personal report, our staff will ensure you are safe and cannot be overheard. They may involve other Event staff to ensure your report is managed properly. Once safe, we'll ask you to tell us about what happened. This can be upsetting, but we assure you that we will handle the incident as respectfully as possible, and you can bring someone to support you. You won't be asked to confront anyone and we won't tell anyone who you are. This policy prohibits retaliation against any person who reports sexual harassment, gender-based harassment or sexual violence, assists someone making such a report, or participates in any manner in an investigation or resolution of a sexual harassment, gender-based harassment or sexual violence complaint. Our team will be happy to help you contact hotel/venue security, local law enforcement, local support services, provide escorts, or otherwise assist you to feel safe for the duration of the Event.

 

Alcohol and Drug Use Policy

Company Event participants and attendees must abide by this alcohol and drug policy and are responsible for complying with federal, state, and local laws on the possession, use, and sale of alcohol and illicit drugs. Any Event participant or attendee that is under the age of twenty-one (21) may not possess or consume alcoholic beverages under any circumstances. No Event participant or attendee may distribute alcoholic beverages to anyone under the age of twenty-one (21) or to any person that cannot establish that they are over the age of twenty-one (21), nor may any Event participant or attendee bring alcoholic beverages to any Event. In no event should anyone misrepresent one's age for the purpose of purchasing, possessing, or consuming alcohol. No participant or attendee of any Event may use, ingest, be under the influence of, sell, possess or distribute illegal or illicit drugs while at an Event. Event participants and attendees will be held directly responsible for: the destruction of personal, real or public property; the violation of the safety or rights of others; the violation of any federal, state or local law; or the violation of any other Company policy that may occur while they are under the influence of alcohol or drugs. If any violation of these terms is discovered, the participant or attendee will be removed from the Event immediately without refund or credit. Company reserves the right to notify the authorities if any participant or attendee violates this policy. Company disclaims any intention to assume duties to protect Event participants and attendees from their own abuse of alcohol or other drugs, or to protect third parties from the conduct of event participants and attendees.

 

Unauthorized Use of Intellectual Property

You may not copy, reproduce, republish, download, post, broadcast, record, transmit, commercially exploit, edit, communicate to the public or distribute in any way the content of the Sites or our materials provided or displayed at an Event, other than for Your own personal use. Subject to the above, You may download insubstantial excerpts of the Sites’ content to Your hard drive for the sole purpose of viewing it, provided that no more than one copy of any information is made. Any use by You other than that permitted under this clause may only be undertaken with our prior written and express authorization.

 

Spamming Prohibited

If Company Event attendee lists and contact information are provided to You, it is exclusively meant to encourage genuine, one-to-one communication. The "mining" and use of Company attendee lists for unwelcome business development and/or mass solicitation is strictly prohibited at all times, and doing so will result in a DNI (Do Not Invite) status henceforth.

 

COVID-19 Liability Policy & Event Cancellation/Postponement

The World Health Organization has declared the novel Coronavirus (“COVID-19”) a worldwide pandemic (“COVID-19 Pandemic”). Due to its capacity to transmit from person-to-person, relevant governmental authorities have set recommendations, guidelines, and some prohibitions (“Regulations”) to encourage and protect the health and safety of the public. Company is doing all that we can to safely bring our community back together. As such, Company intends to comply with such Regulations and Company may, at Company’s sole discretion, supplement the foregoing Regulations with its own requirements relating to the COVID-19 Pandemic. All Event attendees are required to all Regulations and Company requirements relating to the COVID-19 Pandemic. Despite this adherence to these Regulations or additional requirements, You acknowledge that it is still possible for COVID-19 to transmit person-to-person.

Company reserves the right to require all Event attendees to be fully vaccinated against COVID-19, well as to test Event attendees on-site for COVID-19. Company reserves the right to send home any Event attendee (staff or participant) who tests positive for COVID-19 on-site regardless of whether or not such attendee presents with any COVID-19 symptomology. Company reserves the right to send home any staff member or attendee who: (a) exhibits COVID-19 symptoms and refuses to see on-site medical staff for assessment/additional testing, or (b) exhibits COVID-19 symptoms and tests positive upon additional testing. Due to economics and cancellation insurance limitations, we will not be able to issue cash refunds if you cancel your registration prior to the Event. Pro-rata credits (not cash refunds) will be issued for anyone who is unable to participate in part or in full at any Event due to the COVID-19 Pandemic, or in the event Company cancels all or a portion of the Event because of the COVID-10 Pandemic, which Company may do in its sole and absolute discretion.

 It is possible Company may need to cancel or postpone an Event for reasons beyond its control, which include, but are not limited to, pandemics (including the COVID-19 Pandemic), natural disasters or other events limiting travel to or from the site of the Event, circumstances limiting the availability or suitability of the venue, governmental regulation or orders limiting or restricting the Event or changes in economic considerations. Tickets are not refundable regardless of the reason for cancellation or postponement, however the full price of all tickets shall be automatically credited to the Event scheduled by Company as replacement or substitution for cancelled or postponed Event. Company will use all reasonable efforts to substitute a comparable level of Service at such substitute Event. In the event an attendee does not want to attend the scheduled replacement Event, such attendee may, by written notice to Company at least ninety (90) days before such scheduled replacement Event, elect to receive a credit for the full amount of the original ticket for use at any other Company Event, subject to availability and Company’s general policies regarding any caps or restrictions on the overall use of credits at an Event. All credits must be used within three years of the date of notice of the foregoing election and will thereafter expire and be forfeited.

 For additional protection, we encourage Event attendees to purchase travel, medical, and/or trip cancellation insurance. The attendee’s credit card or employer may also provide certain coverage.

 Company will be abiding by local laws and reserves the right to institute additional health and safety requirements or adjust the requirements herein should legal requirements and/or local circumstances so require.

 

Accessibility Accommodations for Event Attendees

 Company strives to make our Events open and accessible to our attendees and community members, regardless of disability or special needs. Participants with disabilities and/or special needs should provide details in their registration form and/or by submitting an accessibility request by emailing us at support@ceospringbreak.com  and providing all of the following information: Your full legal name, email address, phone number, identification of the Event for which you are requesting accommodation, and details about your accommodation and/or special needs request. This information will be kept private and will be distributed only to the individuals who need to know it to complete Your accommodation request.

Changes to These Terms of Service

We reserve the right to amend these Terms of Service at any time. All such changes will take effect once they have been posted on the Sites and You will be deemed to have accepted any such changes by Your use of the Sites or Services, or attendance at an Event, after such time. You hereby acknowledge that Company may require You, at any time, to agree to additional terms (which may be provided as an update to these Terms of Service, or otherwise), and/or to sign additional agreements as a condition of Your access to the Sites and/or Your attendance at the Event.
